Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On October 1, 2026, Amphenol Corporation (the Company ) notified its management team that after 43 years with the Company, Luc Walter, President of the Harsh Environment Solutions Division of the Company, would transition, effective January 1, 2027, into a new role as Senior Vice President, Strategic Programs. Ryan Fisher, who currently serves as the Group General Manager of the Company s North American Military Group, will succeed Mr. Walter as President of the Harsh Environment Solutions Division beginning January 1, 2027.
