Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. Zscaler, Inc. (the Company ) is promoting Ross Tackett to be the Company s Chief Revenue Officer effective October 1, 2026. Mr. Tackett will succeed Mike Rich, who will step down as an officer effective October 1, 2026, but will remain with the Company as a strategic advisor for a transition period through December 31, 2026. In connection with his departure, the Company expects Mr. Rich to receive certain severance benefits in accordance with the Company s Change of Control and Severance Policy, which was filed as an exhibit to the Company s Current Report on Form 8-K filed with the Securities and Exchange Commission on December 2, 2024. A copy of the Company's press release announcing these matters is attached hereto as Exhibit 99.1.
