Item 8.01. Other EventsOn September 14, 2026, Strategy Inc announced that from September 8 to September 13, 2026, it did not sell any shares under its at-the-market offering program and did not purchase or sell any bitcoin. As of September 13, 2026, Strategy held approximately 845,050 bitcoin acquired at an aggregate purchase price of $63.73 billion and an average purchase price of approximately $75,412 per bitcoin, inclusive of fees and expenses. During the same period, Strategy repurchased 1,420,467 shares of STRC Stock (Variable Rate Series A Perpetual Stretch Preferred Stock) for an aggregate purchase price of $139.3 million, and made no repurchases of STRF, STRK, STRD, or MSTR Stock; $1.05 billion remained available for preferred stock repurchases under its digital credit securities repurchase program and $1.0 billion remained available under its MSTR Stock repurchase program. Strategy used $139.3 million of USD Cash to fund the STRC repurchases, and as of September 13, 2026, the USD Reserve and USD Cash balances were $5.10 billion and $1.30 billion, respectively.
