Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On September 2, 2026, Mr. Shankar Arumugavelu notified the Board of Directors (the Board ) of Seagate Technology Holdings, plc (the Company ) that he has decided not to stand for re-election to the Board at the Company s 2026 Annual General Meeting of Shareholders (the Annual Meeting ). Mr. Arumugavelu will continue to serve as a director until the conclusion of the Annual Meeting. Mr. Arumugavelu's decision not to stand for re-election was not due to any disagreement with the Company on any matter relating to the Company s operations, policies, or practices. The Board thanks Mr. Arumugavelu for his service and contributions as a director.
