Executive ChangeOn August 31, 2026, the Board of Directors of Zoom Communications, Inc. appointed Jeff Epstein as a Class I director with a term expiring at the Company's 2029 annual meeting of stockholders, and appointed him to the Audit Committee. Mr. Epstein has been an Operating Partner at Bessemer Venture Partners since 2011 and a Lecturer at Stanford University's Graduate School of Business, is the former Executive Vice President and Chief Financial Officer of Oracle, previously served as CFO of DoubleClick, King World Productions, and Nielsen's Media Measurement and Information Group, and currently serves on the boards of Autodesk, AvePoint, and Twilio; he previously served on the boards of Okta (2021–June 2026), Couchbase (2015–2025), Poshmark (2018–2023), and Shutterstock (2012–2021). Mr. Epstein executed the Company's standard indemnification agreement and will be compensated under the Company's Non-Employee Director Compensation Policy, including an initial grant of restricted stock units with a target value of $213,219 that will vest on the day before the Company's 2027 annual meeting of stockholders (or, if sooner, the one-year anniversary of the grant date), subject to his continuous service. On September 1, 2026, Jonathan Chadwick notified the Company of his resignation from the Board, effective November 19, 2026, which was not the result of any disagreements with the Company on any matter relating to its operations, policies, or practices.
