Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On August 20, 2026, Veeva Systems Inc. ( Veeva ) announced the appointment of Dan Rizzo to serve as EVP, Sales, Consulting, and Services, effective October 2, 2026. Mr. Rizzo succeeds Thomas D. Schwenger, who has been with Veeva since September 2019, most recently serving as President and Chief Customer Officer. Mr. Schwenger informed Veeva of his decision to resign on August 18, 2026 and his resignation is effective October 2, 2026. Mr. Schwenger is departing to assume a CEO role at a long-standing Veeva partner. Veeva thanks Mr. Schwenger for his outstanding service to Veeva and its customers for the past seven years.
